Terms and Conditions.

PayPoster.com and WageWear.com Salesmen and Saleswomen, hereafter referred to as Participants, will not display any of the following content or engage in any of the following activities in advertising or marketing PayPoster.com, WageWear.com or their partners:

  1. Placing PayPoster or WageWear QR codes on ANY website.
  2. Sexually explicit material (pornography);
  3. Violent images or messages that promote violence;
  4. Promotion of discrimination based on race, sex, religion, national origin, physical disability, sexual orientation or age;
  5. Promotion of illegal activities;
  6. Promotion or display of defamatory, libelous or harmful material or material that otherwise infringes upon the rights of any third parties;
  7. Content that is inconsistent with PayPoster.com or WageWear.com’s policies or practices;
  8. Including the PayPoster.com and WageWear.com service marks, “PayPoster.com” or “WageWear.com”, orany other trademark or service mark of PayPoster.com’s or WageWear.com's in any paid search engine marketing copy.
  9. Using the PayPoster.com service mark “PayPoster.com” or any other trademark or service mark of PayPoster.com’s in any Web site page titles or meta tags.
  10. Pointing traffic from search engine results directly into a page of the PayPoster.com or WageWear.com Sites or a page of any Web site that is co-branded with PayPoster.com or WageWear.com, including Web sites that consist of the PayPoster.com or WageWear.com sites framed by a differently-branded header and/or footer.
  11. Directly or indirectly managing PayPoster.com's or WageWear.com's natural search (AKA Organic Search, SEO) including through any tool such as, but not limited to, Yahoo Search Submit Pro (AKA Yahoo Paid Inclusion) without expressed written approval from PayPoster.com or WageWear.com.
  12. Placing any PayPoster.com or WageWear.com-related advertising on any Web site not owned and/or operated by you, or
  13. Any other content or activity that PayPoster.com or WageWear.com notifies Participants directly is objectionable.

All Participants must provide full and accurate contact information to PayPoster.com or WageWear.com on either site's Account Information page.

All Participants must be 18 or older.

PayPoster.com and WageWear.com may terminate a Participant from their Program at their sole discretion. PayPoster.com and WageWear.com will provide notice of termination. To receive last payout after termination, Participant must remove all links to PayPoster.com and WageWear.com sites within seven days of the Participant’s termination from the Program. All pending commissions will be extended pending verification that Participant has removed all links. Any unpaid commissions will be reversed if Participant fails to remove all links by the end of the period.

Term and Termination.

A. The term of this Agreement shall be continuous, unless and until either party properly terminates this Agreement, in accordance with the following: (i) PayPoster.com and/or WageWear.com shall provide Participant with seven (7) days written notice via email, except as provided for in Section (B) below; and (ii) Participant shall email notification to PayPoster.com at contact@PayPoster.com or to WageWear.com at contact@WageWear.com and Participant shall comply with Section (D)(v) below.

B. This Agreement may be terminated immediately by Commission Junction at PayPoster.com or contact@WageWear.com’s request in the event that Participant: (i) violates the PSA or; (ii) violates the Special Terms and Conditions.

C. Upon any termination of this Agreement, PayPoster.com, WageWear.com and Participant will be released from all obligations and liabilities to the other party occurring or arising after the date of such termination or the transactions contemplated hereby, except with respect to those obligations which by their nature are designed to survive termination as provided herein; provided that no such termination will relieve Participant from any liability arising from any breach of this Agreement occurring prior to termination.

D. Upon termination of this Agreement, (i) PayPoster.com and WageWear.com’s acceptance of additional referrals obtained through Participant shall not constitute a continuation or renewal of this Agreement or a waiver of such termination, (ii) Participant shall be entitled only to those unpaid commissions, if valid, earned by Participant on or prior to the date of termination; (iii) Participant shall in no event be entitled to commissions with respect to any amount of referrals delivered after the date of termination; (iv) all rights and licensees of Participant hereunder shall immediately terminate; and (v) Participant shall cease all uses of any trade names, trademarks, service marks, logos and other designations of PayPoster.com/WageWear.com or the Program.

Additional Terms.

A. Participant shall not assign, transfer or delegate its obligations under this Agreement, either in whole or in part, without the prior written consent of PayPoster.com. Any attempted assignment, transfer or delegation in violation of the provisions of this provision will be void.

B. The provisions of this Agreement are severable. If any provision of this Agreement, or the application thereof to any person or circumstance, shall be deemed invalid or unenforceable under any applicable law, such invalidity or unenforceability shall not affect the other provisions of this Agreement that can be given effect.

C. No delay or failure by PayPoster.com or WageWear.com in exercising any right under this Agreement, and no partial or single exercise of that right, shall constitute a waiver of that or any other right.

D. The rights and remedies of PayPoster.com and WageWear.com are not mutually exclusive; that is, the exercise of one or more of the provisions hereof shall not preclude the exercise of any other provision hereof.

E. This Agreement shall be deemed a mutual agreement and shall not be construed and/or interpreted in favor or against either party on the basis of preparation of the Agreement.

F. By applying to the Program, and checking the box acknowledging the Participant’s reading of these Terms and Conditions, Participant executes, accepts, enters into, and becomes party to this Agreement, effective on the date of such acceptance to this Agreement.

G. PayPoster.com and WageWear.com reserve the right to modify the terms and conditions of this Agreement in its sole discretion upon seven (7) days written notification to Participant. If any modification is unacceptable to Participant, Participant’s sole recourse is to terminate this Agreement by expiring the relationship and/or rejecting the new Program Terms offered. Participant’s continued participation in the Program by accepting the newly offered Program Terms with new terms and conditions for this Agreement constitutes Participants binding acceptance to the change.
